These Terms of Service ("Terms") govern your use of www.heleus-holdings.com (the "Site"), operated by Heleus Holdings, LLC ("Heleus," "we," or "us"). By using the Site you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Site.

Our portfolio companies run their own websites and services under their own terms. These Terms cover only this Site.

You may use the Site for lawful purposes. You agree not to:

• Break any law or infringe anyone's rights.
• Interfere with the Site, probe it for vulnerabilities, or try to gain unauthorized access to it or to our systems.
• Introduce malware or overload the Site with automated requests.
• Copy or harvest content at scale, other than through normal search engine indexing.
• Impersonate Heleus, our portfolio companies, or anyone else.

The Site and its content, including text, design, graphics, and logos, belong to Heleus or its licensors and are protected by copyright, trademark, and other laws. "Heleus Holdings," the Heleus H mark, and the names and logos of our portfolio companies are trademarks of their respective owners.

You may view the Site and share links to it. You may not reproduce, modify, distribute, or make commercial use of Site content, or use any of these trademarks, without written permission.

The Site describes Heleus and its portfolio companies for general information. Nothing on it is an offer to sell, or a solicitation of an offer to buy, any security or interest in Heleus or any portfolio company. Nothing on it is investment, legal, tax, or financial advice. Any investment would be made only through definitive written agreements.

Statements about our businesses, plans, and markets reflect our views when written. They may be out of date, and they are not guarantees of future results.

We like hearing from founders. Please understand the basis on which we receive what you send:

• Do not send anything you consider confidential or proprietary. We do not sign non-disclosure agreements to review a pitch, and sending one does not create a confidential relationship.
• We review many ideas, and we build businesses ourselves. We may already be working on, or may later develop or invest in, something similar to what you send. Subject to any patents or copyrights you hold, you agree that we may do so without obligation or payment to you.
• We have no obligation to respond, to return materials, or to invest.
• Any obligation between you and Heleus will exist only if both of us sign a written agreement.

Roles shown on the Site are listed on behalf of Heleus and its portfolio companies. A listing is an invitation to apply. It is not an offer of employment, and it does not mean the role is being filled right now. We accept applications on a rolling basis, and roles may be changed, filled, or withdrawn at any time.

By applying, you confirm that what you send us is true and is yours to share. Sending an application does not create an employment relationship or a promise of an interview. Any employment would be with the hiring company, on the terms of its written offer.

To the fullest extent the law allows, Heleus disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not promise that the Site will be uninterrupted, error free, or secure.

To the fullest extent the law allows, Heleus and its members, managers, officers, employees, affiliates, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from or related to the Site or these Terms. Our total liability for any claim arising from or related to the Site or these Terms will not exceed one hundred U.S. dollars (US $100).

Some jurisdictions do not allow certain disclaimers or limits. In those places, these provisions apply only as far as the law permits.

You agree to indemnify and hold harmless Heleus and its members, managers, officers, employees, affiliates, and agents from claims, losses, and expenses, including reasonable attorneys' fees, arising from your misuse of the Site, your violation of these Terms, or your violation of anyone else's rights.

These Terms are governed by the laws of the State of Maryland, without regard to its conflict of laws rules. Any dispute arising from or related to the Site or these Terms will be brought only in the state or federal courts located in Maryland, and you and Heleus consent to the jurisdiction of those courts.

We may update these Terms. When we do, we will post the new version here and change the effective date. Using the Site after a change means you accept the updated Terms. We may also change or take down the Site at any time.

These Terms and the Privacy Policy are the entire agreement between you and Heleus about the Site. If any part of these Terms is found unenforceable, the rest stays in effect. If we do not enforce a provision, that is not a waiver of it. You may not assign these Terms. We may assign them in connection with a merger, reorganization, or sale of our business.
